Membership Agreement

1. About Time Ledger Membership

Time Ledger offers optional paid membership services that provide access to additional features and functionality within the App.

Our paid membership is currently offered as a Pro Membership. We may offer different subscription durations, promotional offers, introductory offers, or additional membership tiers in the future.

Membership features may include, depending on the plan currently offered:

• Unlimited projects;
• Unlimited clients;
• Unlimited time history;
• Cloud backup and synchronization;
• Other premium features that may be introduced or improved over time.

The exact features available with each membership plan are displayed in the App at the time of purchase.

We may improve, modify, add, or remove features from time to time, subject to applicable law and the terms of this Agreement.

2. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to purchase a paid membership.

If you are below the applicable age of majority in your jurisdiction, you may only purchase or use a paid membership with the involvement and permission of a parent or legal guardian where required by applicable law.

You are responsible for ensuring that your use of Time Ledger complies with all applicable laws and regulations.

3. Account Requirement

A Time Ledger account is required to access membership services.

You are responsible for maintaining the security of your account and for all activity conducted through your account, except where an unauthorized use results from our failure to maintain reasonable security measures.

You agree to provide accurate information when creating and maintaining your account and to keep your account information reasonably up to date.

Membership benefits are associated with your Time Ledger account and the applicable purchase transaction.

4. Subscription Plans

Time Ledger may offer one or more auto-renewable subscription plans through Apple's App Store.

Available plans, subscription durations, prices, and any applicable introductory or promotional offers are displayed in the App and through the applicable App Store purchase interface before you confirm your purchase.

Depending on availability, plans may include:

• Pro Monthly — a recurring monthly subscription;
• Pro Yearly — a recurring annual subscription.

The available plans and prices may vary by country or region.

The subscription price shown to you at the time of purchase is the price applicable to your purchase, subject to applicable taxes and any changes permitted by the App Store and applicable law.

5. Auto-Renewal

Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew for another subscription period of the same duration.

For example, a monthly subscription renews monthly and an annual subscription renews annually unless canceled.

Your Apple Account will be charged for the renewal according to the subscription terms displayed by Apple.

The subscription may renew automatically even if you do not actively use Time Ledger during the subscription period.

You are responsible for canceling your subscription if you do not want it to renew.

6. Payment and Billing

All purchases made through the App Store are processed by Apple and are subject to Apple's applicable terms and payment policies.

We do not directly process your App Store subscription payment.

When you purchase a subscription, the applicable amount will be charged to the payment method associated with your Apple Account, subject to Apple's billing procedures.

The price displayed at the time of purchase may include applicable taxes or other charges depending on your country or region.

If Apple is unable to collect a renewal payment, your subscription may enter a billing retry or grace period, if available, and access to paid features may be affected until the billing issue is resolved.

7. Managing and Canceling Your Subscription

You can manage or cancel your Time Ledger subscription through your Apple Account's subscription settings.

Deleting the Time Ledger App does not automatically cancel your subscription.

If you cancel a subscription, you generally retain access to the paid features until the end of the current paid subscription period, unless otherwise required by applicable law or determined by Apple's subscription system.

After the subscription period ends, your account will normally return to the applicable free service level.

For information about managing or canceling an Apple subscription, please use Apple's subscription management features available on your device or through your Apple Account.

8. Refunds

Payments for subscriptions purchased through the App Store are processed by Apple.

We do not have the ability to directly issue App Store refunds.

If you believe that you are entitled to a refund, you should submit a refund request through Apple's applicable refund process.

Refund eligibility is determined according to Apple's policies and applicable law.

Where a refund is granted, your access to the corresponding paid membership may be adjusted or terminated in accordance with the applicable refund and subscription status.

Nothing in this Agreement limits any mandatory refund rights you may have under applicable consumer protection laws.

9. Restoring Purchases

If you have previously purchased a Time Ledger membership and your paid access is not recognized on a supported device, you may use the App's Restore Purchases functionality, where available.

Restoring a purchase does not create a new subscription or charge you again.

The restored membership must be associated with a valid purchase and the applicable Apple Account and/or Time Ledger account.

If a purchase cannot be restored, you may need to confirm that you are signed in with the Apple Account originally used to make the purchase.

10. Membership Benefits

A valid Pro Membership provides access to the premium features associated with the applicable subscription plan during the active subscription period.

Depending on the current product offering, Pro Membership may provide:

Unlimited Projects and Clients

Pro members may create and manage an unlimited number of projects and clients, subject to reasonable technical limitations and applicable service policies.

Unlimited History

Pro members may access their historical time-tracking records without the limits that may apply to free accounts.

Cloud Backup and Synchronization

Pro members may use cloud-based backup and synchronization features to keep supported Time Ledger data available across supported devices.

Synchronization requires an internet connection and may be affected by network availability, device settings, service interruptions, or other technical circumstances.

Future Premium Features

We may introduce additional premium features as Time Ledger develops.

Where a feature is identified as part of the Pro Membership offering, it will be subject to the terms of this Agreement.

11. Free and Paid Features

Time Ledger may provide certain functionality without a paid membership.

Free functionality may be subject to reasonable limitations, including limitations on the number of projects, clients, historical records, or other features.

Purchasing Pro Membership removes or increases applicable limitations only for the features included in the purchased membership.

A paid membership does not necessarily provide access to every feature of Time Ledger.

The specific benefits associated with your membership are those presented in the App at the time of purchase and during the applicable subscription period.

12. Changes to Membership Features

We are continuously developing Time Ledger and may modify, improve, replace, or discontinue features.

Where reasonably necessary, we may change the features included in a membership.

If we make a material reduction to the core benefits of an existing paid membership, we will take reasonable steps to provide notice where required by applicable law.

Nothing in this Agreement gives you a perpetual right to any particular feature, interface, or technical implementation.

13. Subscription Price Changes

We may change subscription prices in accordance with applicable law and Apple's App Store policies.

Any applicable price change will be handled through the App Store's subscription and pricing mechanisms.

Where Apple or applicable law requires advance notice or consent for a price change, the applicable process will be followed.

If you do not accept a price increase where consent is required, your subscription may expire at the end of the applicable billing period rather than renewing at the increased price.

14. Promotional Offers and Trials

From time to time, we may offer introductory pricing, promotional pricing, free trials, offer codes, or other special membership offers.

The terms of any promotional offer will be presented to you before you accept the offer.

Unless otherwise stated, promotional offers may be subject to eligibility requirements and may not be available to all users.

If a promotional or trial period automatically converts into a paid subscription, the applicable renewal terms and price will be displayed before you confirm the offer.

15. No Guarantee of Continuous Availability

We make reasonable efforts to keep Time Ledger and its membership services available and functioning properly.

However, we do not guarantee that the App or any particular membership feature will always be available, uninterrupted, secure, or error-free.

Services may occasionally be unavailable because of:

• Scheduled maintenance;
• Emergency maintenance;
• Server or infrastructure problems;
• Internet or network failures;
• Third-party service failures;
• App Store or platform restrictions;
• Device or operating-system issues;
• Events beyond our reasonable control.

Temporary service interruptions do not automatically terminate your membership or create a right to a refund, except where required by applicable law.

16. Cloud Data and Synchronization

Certain Pro features may rely on cloud infrastructure to store and synchronize your Time Ledger data.

Although we use reasonable measures to maintain our services, no cloud storage or synchronization system can be guaranteed to be completely secure or continuously available.

You are responsible for using Time Ledger appropriately and maintaining any records that you independently need for business, accounting, tax, or other purposes.

Time Ledger is a productivity and time-tracking tool. It is not intended to replace professional accounting, tax, legal, payroll, or financial advice.

17. Membership and Account Termination

You may stop using Time Ledger at any time.

Canceling a subscription prevents future renewal but generally does not immediately terminate the current paid subscription period.

We may suspend or terminate your access to Time Ledger or membership services if:

• You materially violate this Agreement;
• You engage in fraudulent or abusive activity;
• Your account is used for unlawful purposes;
• Your use of the service creates a security risk;
• We are required to do so by law; or
• Continued provision of the service becomes impracticable for legal, security, or technical reasons.

Where appropriate and permitted by law, we will provide reasonable notice before terminating access for a violation that can be remedied.

Termination or suspension does not affect rights or obligations that accrued before termination.

18. Effect of Cancellation or Expiration

When your Pro Membership expires or is canceled, premium features may become unavailable.

Your account and certain data may remain available under the free version of Time Ledger, subject to applicable limits and our data retention practices.

If your account contains data exceeding the limits of the free plan, we may restrict your ability to add new data or use certain features. We will not intentionally delete your data solely because you canceled a paid membership unless otherwise described in our Privacy Policy or required for legal, security, or operational reasons.

If you permanently delete your Time Ledger account, your account and associated data may be deleted in accordance with our Privacy Policy.

19. Apple as the App Store Provider

If you purchase your membership through Apple's App Store, Apple is the provider responsible for processing the App Store transaction.

Apple is not responsible for providing Time Ledger's membership services themselves.

Your use of Time Ledger remains subject to this Agreement, our Terms of Service, our Privacy Policy, and Apple's applicable terms and policies.

To the extent required by Apple's terms, Apple and its subsidiaries are third-party beneficiaries of the provisions applicable to App Store purchases and may enforce those provisions.

20. Intellectual Property

Time Ledger, including its software, interface, design, branding, text, graphics, logos, and other content provided by us, is owned by or licensed to us and is protected by applicable intellectual property laws.

Your membership grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the applicable premium features during your active subscription period.

Your membership does not transfer ownership of Time Ledger or any of our intellectual property to you.

21. Your Data

You retain your rights to the information and content that you create or submit through Time Ledger, subject to the rights necessary for us to provide the service.

We process personal information in accordance with our Privacy Policy.

You should not use Time Ledger to store information that you are legally prohibited from storing or transmitting through a third-party software service.

You are responsible for ensuring that your use of Time Ledger and the information you enter into the App complies with applicable laws and your contractual obligations to third parties.

22. Acceptable Use

You agree not to:

• Use Time Ledger for unlawful purposes;
• Attempt to gain unauthorized access to our systems or another user's account;
• Circumvent membership restrictions or technical limitations;
• Reverse engineer or attempt to extract source code except where permitted by applicable law;
• Interfere with the security or operation of the service;
• Use automated systems to abuse or overload the service;
• Resell or commercially redistribute membership access without our authorization;
• Use fraudulent payment methods or attempt to obtain membership benefits through fraudulent means;
• Use the service to facilitate illegal activity.

We may take reasonable action against accounts that violate these restrictions.

23. Disclaimer

To the maximum extent permitted by applicable law, Time Ledger membership services are provided on an "as is" and "as available" basis.

We do not guarantee that the service will meet every particular requirement, operate without interruption, or be completely free of errors.

Time Ledger is designed as a time-tracking and productivity application. It does not provide professional accounting, tax, legal, employment, payroll, or financial advice.

You are responsible for independently verifying information used for business, billing, payroll, tax, or other professional purposes.

Nothing in this section excludes or limits any liability or consumer rights that cannot legally be excluded or limited under applicable law.

24. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of Time Ledger or your membership.

This may include loss of profits, business interruption, loss of data, or loss of anticipated savings, except where such limitation is prohibited by applicable law.

Our total liability arising from your use of the membership will be limited to the greater of: (a) the amount you paid for the applicable Time Ledger membership during the twelve-month period immediately preceding the event giving rise to the claim; or (b) USD 100, unless applicable law requires otherwise.

Nothing in this Agreement excludes liability that cannot legally be excluded or limited.

25. Consumer Rights

Nothing in this Agreement is intended to remove, restrict, or waive any rights you may have under mandatory consumer protection laws in your country or region.

If applicable law provides you with rights that conflict with a provision of this Agreement, those mandatory rights will prevail to the extent required by law.

26. Changes to This Agreement

We may update this Membership Agreement from time to time to reflect changes to Time Ledger, our membership services, legal requirements, or business practices.

When we make material changes, we may provide notice through the App, our website, or other reasonable means.

The updated Agreement will become effective on the date indicated at the beginning of the revised Agreement unless otherwise required by applicable law.

Your continued use of the membership after the effective date of an updated Agreement constitutes acceptance of the updated terms to the extent permitted by law.

27. Governing Law

This Agreement is governed by the laws applicable to the relationship between you and Time Ledger, except to the extent that mandatory consumer protection laws in your country or region provide otherwise.

If you are a consumer, you may have additional legal rights under the laws of your country or region, including rights that allow you to bring a claim in your local courts.

Nothing in this Agreement is intended to deprive you of mandatory rights available under applicable law.

28. Entire Agreement

This Membership Agreement, together with the Terms of Service and Privacy Policy, constitutes the agreement between you and us concerning your use of Time Ledger membership services.

If there is a conflict between this Membership Agreement and the Terms of Service specifically concerning paid membership or subscription terms, this Membership Agreement will control with respect to those specific membership terms.

When contacting us about a subscription issue, please provide sufficient information for us to identify the issue, such as your Time Ledger account email address and, where appropriate, your purchase or transaction information.

For App Store billing, cancellation, and refund matters, you may also need to contact Apple directly because Apple processes App Store purchases and manages the associated payment system.

30. Acceptance

By purchasing or using a Time Ledger Pro Membership, you acknowledge that you have read, understood, and agreed to this Membership Agreement.

If you do not agree to these terms, please do not purchase or use the paid membership services.
